Terms of Service

1. Acceptance of Terms

By creating an account or using PryviTalk ("the Platform"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Platform. PryviTalk is operated by PryviTalk Inc., a company registered in the Philippines.

2. Eligibility

You must be at least 18 years of age to use PryviTalk. By creating an account, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into these Terms.

3. User Accounts

You are responsible for maintaining the confidentiality of your account credentials. You agree to provide accurate and complete information during registration. You may not share your account with others or create multiple accounts. PryviTalk reserves the right to suspend or terminate accounts that violate these Terms.

4. Credits System

PryviTalk operates on a credit-based system. Credits are a virtual currency used within the Platform.

  • Credits can be purchased using real currency through our payment provider, Xendit.
  • Credits are used to send messages to creators, unlock pay-per-view content, subscribe to creators, and send tips.
  • Creators earn credits when fans interact with them through paid features.
  • Credits have no monetary value outside the Platform and cannot be exchanged for cash by fans.
  • Creators may request payouts of earned credits according to the Platform's payout policies.

5. Payments and Pricing

All payments are processed in Philippine Pesos (PHP) through Xendit. Prices for credit packs are displayed on the Platform and are subject to change. By making a purchase, you authorize PryviTalk and Xendit to charge your selected payment method.

6. Refund Policy

All credit purchases are final and non-refundable. Once credits are purchased, they cannot be returned or exchanged for cash. Credits that have been spent on messages, tips, subscriptions, or pay-per-view content cannot be recovered. We encourage users to purchase credits thoughtfully.

In exceptional circumstances (such as unauthorized transactions or technical errors), you may contact our support team, and we will review your case on an individual basis.

7. Content Rules

Users are solely responsible for the content they share on PryviTalk. You agree not to:

  • Post, send, or share any content that is illegal under Philippine law or any applicable jurisdiction.
  • Share content involving minors in any capacity.
  • Engage in harassment, bullying, threats, or hate speech.
  • Distribute spam, malware, or phishing attempts.
  • Impersonate other individuals or entities.
  • Share content that infringes on intellectual property rights.
  • Solicit or facilitate illegal activities.

PryviTalk employs automated content moderation and human review. Violations may result in content removal, account suspension, or permanent ban without refund of remaining credits.

8. Creator Responsibilities

Creators on PryviTalk are independent users, not employees or contractors of PryviTalk. Creators are responsible for:

  • Complying with all applicable laws and regulations, including tax obligations.
  • Ensuring their content does not violate these Terms or Philippine law.
  • Providing accurate payout information (GCash, Maya, or bank details).
  • Responding to fan messages in a timely manner.

9. Account Termination

PryviTalk may suspend or terminate your account at any time, with or without notice, for violations of these Terms. Upon termination:

  • Your access to the Platform will be revoked immediately.
  • Remaining unused credits are forfeited and non-refundable.
  • Creators with pending payouts may have their payouts canceled if the termination is due to a Terms violation.
  • You may request account deletion by contacting support.

10. Intellectual Property

The PryviTalk platform, including its design, logos, and software, is the property of PryviTalk Inc. Users retain ownership of the content they create and share, but grant PryviTalk a non-exclusive, worldwide license to host, display, and distribute such content within the Platform.

11. Limitation of Liability

PryviTalk is provided "as is" without warranties of any kind, either express or implied. To the fullest extent permitted by law:

  • PryviTalk is not liable for any indirect, incidental, special, or consequential damages.
  • PryviTalk is not responsible for content shared by users.
  • PryviTalk is not liable for any loss of data, credits, or revenue.
  • PryviTalk's total liability shall not exceed the amount you paid in the last 12 months.

12. Dispute Resolution

Any disputes arising from these Terms shall be resolved through good-faith negotiation. If a resolution cannot be reached, disputes shall be submitted to binding arbitration in accordance with Philippine law, to be conducted in Metro Manila, Philippines.

13. Governing Law

These Terms are governed by and construed in accordance with the laws of the Republic of the Philippines.

14. Changes to Terms

PryviTalk reserves the right to modify these Terms at any time. We will notify users of material changes via email or in-app notification. Continued use of the Platform after changes constitutes acceptance of the updated Terms.
